1. The ZAP Express®, Lambda ZAP®, Lambda ZAP®-CMV and Uni-ZAP® vectors are covered by Stratagene’s United States Patent Nos. 5,286,636 and 5,128,256; European Patent No. 286200. Purchase of these vectors includes
a limited non-exclusive license under such patent rights to use the vectors for the cloning, expression and characterization of genes.

This license does not grant any rights to:
1. Use the ZAP Express, Lambda ZAP, Lambda ZAP®-CMV or Uni-ZAP vectors for the reproduction, amplification or modification of the vectors;
2. Offer the ZAP Express, Lambda ZAP, Lambda ZAP®-CMV or Uni-ZAP vectors or any derivatives thereof for resale; or
3. Distribute or transfer the ZAP Express, Lambda ZAP, Lambda ZAP®-CMV or Uni-ZAP vectors or any derivatives thereof to any third parties for any purpose or use.
No other license, express, implied or by estoppel, is granted. For information

2. BioTrek™ Protein Delivery Reagent is manufactured for Stratagene by Gene Therapy Systems, Inc.

3. Purchase of this PCR-related product does not convey any rights under the PCR patents owned by Hoffmann-La Roche. A license to use the PCR process accompanies the purchase of certain reagents from Stratagene when used in
conjunction with an Authorized Thermal Cycler.

4. Use of AAV vectors is covered by U.S. Patent Nos. 5,622,856, 5,945,335, 6,001,650, 6,004,797 and 6,027,931 and is limited to use solely for research purposes. Any other use of the AAV Helper-Free System requires a license from Avigen, Inc.

5. AdEasy™ products are sold under license from Johns Hopkins University. Rights to use these products are limited to non-commercial research use only. No other rights are conveyed. Inquiry into the availability of a license to broader rights or the use of these products for commercial purposes should be directed to Johns Hopkins University School of Medicine, Office of Technology Licensing, 111 Market Street, Suite 906, Baltimore, MD 21202. Purchase of these products does not grant rights to: (1) offer the vectors or any derivatives thereof for resale; or (2) to distribute or transfer the vectors or any derivatives thereof to any third parties.

6. Use of the CMV promoter is covered under U.S. Patent Nos. 5,168,062 and 5,385,839 owned by the University of Iowa Research Foundation and licensed FOR RESEARCH USE ONLY.

7. Purchase of this product is accompanied by a limited use license to use the product as a reagent for research purposes. If Purchaser intends to use the product outside the scope of the license, he needs to enter into a License Agreement with F. Hoffmann-La Roche Ltd, Grenzacherstrasse 124, 4070 Basel, Switzerland or Hoffmann-La Roche Inc.

8. Certain hrGFP products, and other products containing hrGFP variants, are covered by the following license terms.

Use of Stratagene’s Vitality™ hrGFP products containing DNA sequences coding for Renilla reniformis green fluorescent protein (GFP) variants or proteins thereof (“Products”) requires a license from Stratagene.

With purchase of the Products, non-profit research entities are granted a complimentary license for non-commercial research use, the terms of which are disclosed in detail in the Non-Commercial Research Use License for Nonprofit Entities accompanying the Products. Commercial entities are granted a license for non-commercial research use, the terms of which are disclosed in detail in the Non-Commercial Research Use License for Commercial Entities. These licenses specifically exclude any rights to (i) modify the coding region of the nucleic acid encoding the fluorescent protein of the Products, (ii) offer the Products, or any components, derivatives or modifications thereof, for resale, or (iii) distribute, transfer, or otherwise provide access to, the Products, or any components, derivatives or modifications thereof, to any third party for any purpose or use. 9. Purchase of these products is accompanied by a license to use them in the Polymerase Chain Reaction (PCR) process in conjunction with a thermal cycler whose use in the automated performance of the PCR process is covered by the up-front license fee, either by payment to Applied Biosystems or as purchased, i.e., an authorized thermal cycler.

10. This product is for research use only. Use in and/or for Diagnostic and Therapeutic, including but not limited to any use for drug screens and/or assays, is strictly prohibited.

11. This product is covered by several patent applications owned by Cold Spring Harbor Laboratory. The purchase of this product conveys to the buyer the limited, non-exclusive, non-transferable right (without the right to resell, repackage, or further sublicense) under these patent rights to use the recombinant Dicer technology as claimed in those patent applications for research purposes solely in conjunction with this product. No other license is granted to the buyer whether expressly, by implication, by estoppel or otherwise. In particular, the purchase of this product does not include nor
carry any right or license to use, develop, or otherwise exploit this product commercially, and no rights are conveyed to the buyer to use the product or components of the product for any other purposes, including without limitation, provision of services to a third party, generation of commercial
databases, or clinical diagnostics or therapeutics.

This product is sold pursuant to a license from CSHL, and CSHL reserves all other rights under these patent rights.

12. GeneEraser™ siRNA Transfection Reagent is manufactured for Stratagene by Mirus.

13. Practice of the patented polymerase chain reaction (PCR) process requires a license. The Mx3000P™ real-time PCR system is an Authorized Thermal Cycler and may be used with PCR licenses available from Applied Biosystems. Its use with Authorized Reagents also provides a limited PCR license in accordance with the label rights accompanying such reagents.

14. Practice of the patented polymerase chain reaction (PCR) process requires a license. The Mx4000™ multiplex quantitative PCR system is an Authorized Thermal Cycler and may be used with PCR licenses available from Applied Biosystems. Its use with Authorized Reagents also provides a limited PCR license in accordance with the label rights accompanying such reagents.

15. Use of labeling reagents may require licenses from entities other than Stratagene. For example, use of fluorogenic probes in 5’ nuclease assays may require licenses under U.S. Patent Nos. 6,214,979, 5,804,375, 5,210,015 and 5,487,972 owned by Roche Molecular Systems, Inc. and under U.S. Patent No. 5,538,848 owned by Applied Biosystems.

16. U.S. Patent No. 4,952,496. For academic or non-profit laboratories, an assurance letter accompanies the sale of the products. For commercial laboratories, a research use license agreement must be entered into prior to purchase of the products.
